Terms of Service

The agreement for using Launch Point.

Effective date: October 10, 2026

These Terms of Service ("Terms") are an agreement between Launch Point, LLC, a Nevada limited liability company ("Launch Point", "we", "us") and the organization that uses Launch Point ("Customer", "you"). They cover the Launch Point website at launchpointbrands.com and the Launch Point application at hq.launchpointbrands.com (together, the "Service").

If you accept these Terms for an organization, you confirm you have authority to bind it. If an order form, quote or checkout page ("Order") you have agreed with us conflicts with these Terms, the Order wins for that subject.

‍

1. Who can use Launch Point

  • Launch Point is a business product. You may use it only for your business or the businesses you serve, not for personal, family or household purposes.
  • Every person who uses the Service ("User") must be at least 18 years old.
  • You are responsible for your Users, for what they do in the Service, and for keeping sign-in methods secure. Tell us at security@launchpointbrands.com if you think an account has been compromised.

‍

2. Key terms

  • Workspace: a space in the Service for one company, brand or client. Access to each Workspace is limited to its members.
  • Customer Data: everything you or your Users put into the Service or connect to it. That includes tasks, channels, chats, knowledge documents, files, meeting recordings and transcripts, forwarded emails, and data the Service reads from your Connected Tools.
  • Output: content the Service's AI features produce for you, such as answers, drafts, summaries, reports, tasks and images.
  • Connected Tools: third-party products you connect to the Service, such as HubSpot, Webflow, Google Ads or Notion.
  • Agents and Routines: AI features that work in the background. Agents take on tasks you assign. Routines run checks on a schedule and turn what they find into proposed tasks.

‍

3. Accounts, Workspaces and roles

  • Access is by invitation, a team link, an approved email domain, or a plan or trial we provide. Workspace owners and admins control who joins and what role each member has.
  • The owner of a Workspace can manage billing and delete the Workspace. Admins can manage members, settings and integrations.
  • With your permission, Launch Point staff may join your Workspace to help you set up or to give support. You can remove staff access at any time.

‍

4. Plans, trials and payment

  • Plans. Plans, prices, seat counts and monthly AI usage allowances are shown on our pricing page or in your Order.
  • Trials. We may offer a free trial. Trials need no card. When a trial ends, the Workspace becomes read-only until you choose a plan. Trials are provided as is, without support commitments or warranties.
  • Billing. Fees are in US dollars and are charged in advance, monthly or yearly, through our payment processor, Stripe. You authorize us to charge your payment method on each renewal.
  • Renewal and cancellation. Subscriptions renew automatically for the same period. You can cancel at any time in your billing settings. Cancellation takes effect at the end of the current billing period, and the plan will not renew.
  • Refunds. Fees are non-refundable, except where the law requires a refund or we end the Service without cause, in which case we refund the unused part of any prepaid fees.
  • Usage allowances. Each plan includes a monthly allowance of AI replies. When a Workspace reaches its allowance, AI chat pauses until the allowance resets at the start of the next billing month. Unused allowance does not carry over.
  • Late payment. If a payment fails, we will try again and tell you. If payment remains overdue, we may pause AI features or suspend the Workspace until it is paid.
  • Taxes. Fees do not include taxes. You are responsible for sales, use, value added and similar taxes that apply to your purchase, other than taxes on our net income. Where we are required to collect a tax, we will add it to your invoice based on your billing address, unless you give us a valid exemption certificate.
  • Price changes. We will give you at least 30 days' notice of a price change. It applies from your next renewal.

‍

5. Your data

  • You own your Customer Data and your Output. We claim no ownership of either.
  • Our permission to use it. You give us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy and Data Processing Addendum.
  • No training. We do not use your Customer Data or Output to train AI models, and our AI providers are not permitted to use it to train theirs.
  • No selling. We do not sell your Customer Data.
  • Usage information. We collect information about how the Service is used, such as feature usage, performance and error data. We use it to run, secure and improve the Service. When we use it beyond your Workspace, we remove anything that identifies you or your Users.
  • Your responsibilities. You confirm you have the rights and any notices or consents needed to put Customer Data into the Service and to let us process it, including personal data about your contacts and leads.

‍

6. AI features

  • Review before you rely on it. AI can be wrong. Output may be inaccurate, incomplete or out of date, and it is not legal, financial, tax or other professional advice. You are responsible for reviewing Output before you use it, publish it or act on it. The Service reminds you of this where you chat.
  • Third-party AI providers. We use third-party AI model providers to produce Output. They are listed on our Subprocessors page. Their usage policies apply to the content you send through the Service.
  • Similar Output. AI may produce similar Output for other customers. Your ownership of your Output does not extend to similar content produced for others.
  • Model choice. We choose which AI models run each feature and may change them to improve quality, speed or cost.

‍

7. Agents and actions in your Connected Tools

  • You set the limits. For each Connected Tool, Users choose whether an action is always allowed, needs approval, or is blocked. Actions that publish, send, spend money or delete show an approval request before they run.
  • Agents can make mistakes. Agents and AI features may take actions you did not intend. Check their work, and set permissions that match the risk you are willing to accept.
  • Your responsibility. You are responsible for actions the Service takes in your Connected Tools that a User approved, or that a User's permissions allowed without approval.

‍

8. Connected Tools and other third-party services

  • When you connect a tool, you authorize us to access it on your behalf, with the access that User grants on the tool's own consent screen.
  • Your use of each Connected Tool is governed by your agreement with its provider. We are not responsible for third-party products, their availability, or changes they make.
  • Disconnecting a tool in Launch Point deletes the credentials we stored. To fully revoke access, also remove Launch Point in that tool's own settings.

‍

9. Meetings and recordings

  • The meeting notetaker can join calls to record and transcribe them. Recording laws differ by place, and some require every participant's consent.
  • You are responsible for telling participants that a meeting is being recorded and for getting any consent the law requires. Do not record anyone who has not agreed where consent is required.

‍

10. Acceptable use

You must follow our Acceptable Use Policy, which is part of these Terms.

‍

11. Our property and feedback

  • We own the Service, including its software, design and documentation. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription, under these Terms.
  • You may not copy, resell or reverse engineer the Service, or use it to build a competing product.
  • If you send us feedback or ideas, we may use them without any obligation to you.

‍

12. Confidentiality

Each of us will protect the other's non-public business information with reasonable care, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential. This does not cover information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed).

‍

13. Security and privacy

  • We protect Customer Data with the measures described on our Security page and in our Data Processing Addendum.
  • Our Privacy Policy explains how we handle personal information. Where we process personal data for you, our Data Processing Addendum applies.
  • If we confirm a security incident affecting your Customer Data, we will notify you within 72 hours.

‍

14. Suspension

We may suspend access, in whole or in part, if:

  • payment is overdue;
  • your use breaks these Terms or the Acceptable Use Policy;
  • your use creates a security risk or could harm the Service, other customers or third parties; or
  • the law requires it.

We will give notice where we reasonably can, and restore access once the issue is resolved.

‍

15. Ending the agreement and your data

  • Ending. You can stop using the Service and cancel at any time, as described in section 4. We may end this agreement with 30 days' notice. We may end it immediately if you materially break these Terms and do not fix the breach within 15 days of our notice.
  • Export. Workspace owners and admins can export Workspace content at any time, as described in our help center. For 30 days after the agreement ends, we will help you export your data on request.
  • Deletion. After that, or sooner if you delete your Workspace, we delete your Customer Data. Deleted data leaves our backups within 7 days. We may keep records the law requires.

‍

16. Beta features

We may offer features labeled beta, preview or early access. They may change or end at any time, are provided as is, and may not be covered by our support or security commitments.

‍

17. Warranties and disclaimers

  • We will provide the Service in a professional manner, materially as described in our documentation.
  • Except for that commitment, the Service and Output are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the Service will be uninterrupted or error-free, or that Output will be accurate.

‍

18. Limitation of liability

  • Neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible.
  • Each party's total liability under this agreement is limited to the fees you paid in the 12 months before the claim. For trials and unpaid use, our total liability is limited to US$100.
  • These limits do not apply to your payment obligations, to either party's indemnity obligations, or to a party's fraud or wilful misconduct.

‍

19. Indemnification

  • By us. We will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay any resulting damages awarded or settlement we agree. This does not cover Output, Customer Data, Connected Tools, or use of the Service in breach of these Terms.
  • By you. You will defend us against third-party claims arising from your Customer Data, from actions taken in your Connected Tools that you approved or allowed, or from your breach of the Acceptable Use Policy, and pay any resulting damages awarded or settlement you agree.
  • The party seeking defense must notify the other promptly, give it control of the defense, and provide reasonable help.

‍

20. Changes

  • We improve the Service over time and may add, change or remove features. We will not materially reduce the core features of your plan during a paid term.
  • We may update these Terms. If a change is material, we will tell you by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after that means you accept the change.

‍

21. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. The state and federal courts located in Clark County, Nevada have exclusive jurisdiction. Before filing a claim, each of us will try in good faith to resolve the dispute by written notice and discussion for 30 days.

‍

22. General

  • Assignment: neither of us may assign this agreement without the other's consent, except to a successor in a merger or sale of the business.
  • Force majeure: neither of us is liable for delays caused by events beyond reasonable control.
  • Publicity: we will not use your name or logo in our marketing without your written permission.
  • Notices: we send notices to the Workspace owner's email. Send notices to us at info@launchpointbrands.com and Launch Point, LLC, 1235 East Blvd Ste E, Charlotte, NC 28203.
  • Entire agreement: these Terms, any Order, the Acceptable Use Policy, the Privacy Policy and the Data Processing Addendum are the entire agreement between us on this subject. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver.
